Terms of service

1. Definitions

• "Manisma": the planning software, delivered as SaaS (software-as-a-service).
• "Customer": the company subscribing to Manisma.
• "User": an individual staff member (planner, office user or technician) of the customer with an account.

2. The service

Manisma is a SaaS application for field service planning. We do our best to keep the service continuously available, but we do not guarantee uninterrupted, error-free availability. Maintenance, updates and factors outside our control, such as the hosting provider or subprocessors, can cause interruptions. We deliver the service on a best-effort basis.

3. Account & use

The customer is responsible for its users' accounts and for lawful use of the service. Misuse, including circumventing security, overloading the service, or using the service for unlawful purposes, is not permitted and may lead to account suspension.

4. Subscription & payment

Manisma is offered per technician per month, in several subscription tiers (see pricing). Every tier has exactly the same functionality and differs only in team size, AI budget and support. New customers get a 30-day free trial, no payment details required. Billing is monthly or annual (with a discount for annual billing). If the number of active technicians exceeds your plan's bracket, it is automatically billed at your plan's rate (soft overage). Your work is never blocked. Prices exclude VAT; Belgian customers pay the applicable VAT rate, intra-EU B2B customers with a valid VAT number pay via reverse charge.

5. Cancellation & offboarding

Monthly subscriptions can be cancelled monthly; annual subscriptions run until the end of the billed period. After cancellation the customer can export its data; we retain the data for a further 90 days after cancellation, after which it is permanently deleted (see the privacy policy).

6. Liability

Our liability is limited to direct damages and to no more than the amount the customer paid in subscription fees in the preceding 12 months. We are not liable for indirect damages, consequential loss, lost profits or data loss, except to the extent mandatory law prevents such exclusion.

7. Intellectual property

All rights to the Manisma software, brand and underlying technology remain with Manisma. The customer retains all rights to its own data (clients, jobs, technicians) entered into the service.

8. Changes

We may update these terms; for a material change we notify active customers in advance. Continued use of the service after the effective date constitutes acceptance of the updated terms.

9. Governing law & jurisdiction

These terms are governed by Belgian law. Disputes are submitted to the competent courts of the district where Manisma is established.
